Partner Agreement

1. About this agreement

This Partner Agreement (the "Agreement") is between Soulatourz s. r. o., registered at Lermontovova 911/3, 811 05 Bratislava, Slovakia, company no. (IČO) 57 614 261, registered in the Commercial Register of the Bratislava III City Court (Section Sro, Insert No. 199261/B) ("Soulastourz", "we", "us"), and the supplier business that applies to join the Soulastourz partner programme ("Partner", "you"). By submitting an application and using the partner portal, you confirm you have read, understood and accept this Agreement.

2. The partnership

Soulastourz operates a platform that markets and sells tours, transfers and travel experiences to customers. As a Partner, you provide one or more of these services and fulfil the bookings that Soulastourz passes to you. Nothing in this Agreement creates an employment, agency, partnership or joint-venture relationship beyond what is set out here; you operate as an independent business.

3. Becoming and remaining a partner

• You must complete the application and provide accurate, current and complete information about your business, services, documents and payout details.
• Approval is at Soulastourz's discretion. We may request additional documents (for example registration, licences and insurance) before or after approval.
• You must keep your information up to date and notify us promptly of any material change (ownership, licences, insurance, bank details).
• You confirm you are authorised to register the business and to enter into this Agreement on its behalf.

4. Your services and standards

• You will deliver the services you list to a professional standard and in line with the descriptions, inclusions and availability you provide.
• You will hold and maintain all licences, permits, registrations and insurance required by law for your services.
• You will comply with all applicable laws, including health, safety, consumer-protection and transport regulations.
• You will treat customers fairly and courteously and handle their personal data responsibly (see clause 9).

5. Bookings and customers

Soulastourz will pass confirmed bookings to you through the partner portal. You are responsible for honouring confirmed bookings and for the safe and complete delivery of the booked service. Customers booked through Soulastourz remain customers of the Soulastourz platform for the purposes of this Agreement.

6. Pricing, rates and payouts

• For each service, Soulastourz and the Partner agree a fixed rate per trip (or per person, where stated) in writing — the "Agreed Rate". The portal shows the Agreed Rate for each booking.
• Soulastourz sets the customer-facing retail price independently and retains the difference between the retail price and the Agreed Rate.
• The Partner's payout for each delivered booking is the Agreed Rate for that booking.
• Payouts are made monthly, in EUR, to the bank account on file, for bookings that have been delivered and are eligible for payout.
• Agreed Rates may be revised by mutual written agreement (email is sufficient); revised rates apply to bookings made after the revision.
• You are responsible for your own taxes, including VAT where applicable.

7. Cancellations and refunds

Cancellations, no-shows and refunds will be handled in line with the cancellation terms shown to the customer at the time of booking. Where a service cannot be delivered due to your fault, Soulastourz may withhold or reclaim the corresponding payout and any related refund or cost.

8. Insurance and liability

You are responsible for delivering your services safely and for maintaining adequate insurance, including public-liability cover appropriate to your activities. To the extent permitted by law, you are liable for loss, injury or damage arising from your services, and you agree to indemnify Soulastourz against claims arising from your acts or omissions.

9. Data protection

Each party will comply with applicable data-protection law (including the GDPR). You will use customer personal data only to fulfil the relevant booking and not for unrelated marketing. How Soulastourz handles personal data is described in our Privacy Policy.

10. Confidentiality

Each party will keep confidential any non-public information received from the other (including customer data, pricing and business information) and use it only for the purposes of this Agreement.

11. Term and termination

• This Agreement starts when your application is approved and continues until terminated.
• Either party may terminate with 30 days' written notice.
• Soulastourz may suspend or terminate your access immediately if you breach this Agreement, lose a required licence or insurance, or act in a way that risks customer safety or the reputation of the platform.
• Obligations that by their nature should survive termination (including payment for delivered bookings, confidentiality and liability) will continue.

12. Changes to this agreement

We may update this Agreement from time to time. We will make the current version available in the partner portal and, where changes are material, give you reasonable notice. Continued use of the portal after changes take effect means you accept the updated Agreement.

13. Governing law

This Agreement is governed by the laws of the Slovak Republic, and the courts of the Slovak Republic have jurisdiction over any dispute, unless mandatory law provides otherwise.
